Terms for Corporations

A. Definitions

  • Project is a non-profit project designed to benefit the common good in the area of culture, community, religion or science which for its realization depends on a Donation.

  • Donation is the provision of money, time, goods or other services or benefits by a Registered User of the Betterplace Platform to a Recipient in order to support the realization of the Project chosen to benefit from the Donation. The term Donation is used in these General Terms of Use and on the Betterplace Platform regardless of the recognition of the Donation for tax purposes.

  • Donor is a Registered User who wishes to make a Donation to a Recipient via the Betterplace Platform.

  • Recipient is a person, company, corporation or other entity established in Germany or abroad which shall receive a Donation as beneficiary of a Project.

  • Requirement is a component of a Project with a concrete Purpose for which Donations in the form of money, goods or services can be raised in a quantifiable amount.

  • Mixed Requirement is a requirement for which Donations in the form of money as well as in the form of goods, services, time or other means can be raised.

  • Project Sponsor (PS) is the person (individual) responsible for a Project.

  • Individual Projects are Projects for which a Donation is destined directly to the person (individual) which shall implement the Project. In Individual Projects the Recipient and the Project Sponsor are the same person (individual).

  • Organization Projects are Projects implemented by organizations. In this respect organizations are recognized by the German fiscal administration (Deutschen Finanzämtern) as charities (als gemeinnützig anerkannt) (“German Recognized Charity”) which can be distinguished from other organizations. For Donations of money to Projects of a German Recognized Charity, Betterplace can issue donation receipts (Zuwendungsbestätigungen).

  • Sponsoring Organizations are organizations which implement the Projects and are Recipients of the Donations.

B. Terms

I. Scope of Regulation

The Terms for Corporations apply to businesses as well as to freelancers, who want to demonstrate their social commitment on the Betterplace Platform and particularly advocate Individual Projects.

The Terms of Use apply in addition to the Terms for Corporations. The respective special terms concerning Donations and the launch of Projects apply prior to the Terms of Corporations and Terms of Use.

II. Registration

A corporation will be registered by a user who is authorized to act on behalf of the corporation. Until otherwise notified, this user has binding authority to decide all aspects concerning the appearance of the corporation on the Betterplace Platform and to voice and receive all necessary notices regarding the Betterplace Platform. For the purpose of correspondence with the corporation, Betterplace Foundation may use any e-mail address specified by the respective user. Notices are considered to be received two business days after dispatch, unless there is evidence of transmission interference.

III. Appearance on the Platform

Registered corporations may act as sponsor of Projects materially or ideally supported by them in coordination with the respective Project Manager, placing their corporate logo on the Project’s profile and being referred to in the Project description. Registered corporations may launch their own corporate profiles on the Betterplace Platform to demonstrate their commitment to charitable activities. The exact possibilities result from the functionality of the Betterplace Platform. Section B.V. of the Terms of Use applies accordingly.

IV. Contents on the Platform

Concerning contents, which are to be launched by a corporation, section B. IV. of the Terms of Use applies accordingly. Betterplace may remove any content that conflicts with the Terms of Use.

All means of product advertisement on the part of corporations or addressing other users for the purpose of product marketing or product distribution are prohibited.

V. Termination, Denial of Access or of Registration

The contractual relationship between Betterplace Foundation and the corporation may be terminated by Betterplace Foundation or the corporation at any time by written notice (cf. § 126b German Civil Code) with effect at the end of the third month following such notice.

The right to extraordinary termination for important cause remains unaffected. Section B. VI. of the Terms of Use applies accordingly.

Concerning the denial of access to content published by Betterplace on the Betterplace Platform, with respect to the corporation’s profile, section B.VI. applies accordingly.

VI. Trademark Rights

The uploading of corporate trademarks (e.g. the company logo) by the corporation using the mechanism provided by the platform entitles Betterplace to indefinitely and irrevocably use these data as intended.

During the registration process, corporations and Betterplace are authorized to refer to the existence of the venture, naming the respective venture partner and using its trademarks, if these were provided digitally on the Betterplace Platform or directly.

In addition, Betterplace is entitled to refer generally to the venture using the corporation’s name and trademarks. In particular Betterplace may publicize the venture in print and broadcast media as well as on the World Wide Web. This right may be modified by appropriate instructions by the corporation.

VII. Profile Sections

The compiling of a profile section requires a license from Betterplace Solutions GmbH to use the necessary software resources. The Terms of License of Betterplace Solutions GmbH including the current price list apply.
